INTRODUCTION

This agreement is made between the Seller(s) and Connect UK Sales Ltd (the “Company”).

The Company operates the Connect RealTime® platform, through which the Property is being marketed and sold.

The purpose of this agreement is to formally confirm the Seller’s participation in a Stamp Duty Incentive Scheme, whereby the Seller agrees to contribute towards the Buyer’s Stamp Duty Land Tax (SDLT), subject to the terms outlined below.

INCENTIVE STRUCTURE

The Seller agrees to offer a Stamp Duty contribution to the successful Buyer of the Property.

  • The contribution will be equivalent to the Stamp Duty Land Tax (SDLT) payable by the Buyer, based on the final agreed purchase price.
  • This contribution will be facilitated via the conveyancing process and handled by the respective solicitors at completion.

RESERVE PRICE ADJUSTMENT

To accommodate the Stamp Duty contribution:

  • The Seller confirms that the reserve price has been set (or adjusted) to reflect the cost of this incentive.
  • The Seller understands that this incentive does not affect the agreed price you would like to achieve.
  • The Seller acknowledges that the agreed reserve price is intended to ensure that the net proceeds to the Seller remain acceptable, taking into account the Stamp Duty contribution.

PAYMENT MECHANISM

  • The Stamp Duty contribution will not be paid directly to the Buyer.
  • Instead, the contribution will be:
    • Deducted from the Seller’s completion proceeds, and
    • Applied by the Buyer’s solicitor toward the Buyer’s Stamp Duty liability.
  • All payments will be handled through the standard conveyancing and completion process.

NO ADDITIONAL LIABILITY

The Seller acknowledges and agrees that:

  • The Stamp Duty contribution forms part of the agreed sale structure.
  • There is no additional financial liability beyond the agreed sale terms, as the cost is incorporated within the reserve price and final sale price.

MARKETING & DISCLOSURE

The Seller authorises the Company to:

  • Market the Property with reference to the Stamp Duty incentive, including (but not limited to):
    • “Stamp Duty Paid”
    • “Seller Contributes to Buyer’s Stamp Duty”
  • Disclose the existence of this incentive to prospective buyers.

CONDITIONS

  • This incentive applies only to the successful Buyer completing the purchase.
  • If the transaction fails to complete for any reason, the incentive shall not apply.
  • The final Stamp Duty amount will be calculated in accordance with current UK SDLT rules at the time of completion.

  • The Seller confirms they have had the opportunity to seek independent legal and/or tax advice prior to entering into this agreement.

ACCEPTANCE

By signing this agreement, the Seller confirms that they:

  • Fully understand the structure of the Stamp Duty Incentive
  • Agree to the terms outlined in this document
  • Authorise Connect UK Sales Ltd to proceed accordingly
